Privacy Policy

  1. Definition of Confidential Information

    For the purposes of this Agreement, 'Confidential Information' includes all non-public information shared between the parties, including but not limited to, business strategies, client lists, pricing, marketing materials, and any other information deemed proprietary by either party.

  2. Obligation of Confidentiality

    Both parties agree to:

    • maintain the confidentiality of the Confidential Information;
    • not disclose the Confidential Information to any third party, except as may be necessary for the performance of the Services and with the other party's written consent; and
    • not use the Confidential Information for any purpose outside the scope of this Agreement.
  3. Exceptions

    The confidentiality obligations set forth herein shall not apply to information that:

    • is or becomes publicly known through no fault of the receiving party;
    • is already known by the receiving party prior to disclosure by the other party; or
    • is rightfully received from a third party without breach of any confidentiality obligation.
  4. Duration of Confidentiality

    The obligation of confidentiality shall survive the termination of this Agreement and remain in place for a period of [number] years thereafter.

  5. Return of Confidential Information

    Upon termination of this Agreement, each party shall return or destroy all materials containing the other party's Confidential Information and certify in writing that all such materials have been returned or destroyed.
